These Terms & Conditions ("Terms") govern your access to and use of the website and services provided by SEEMANCHAL KOSI MAKHANA (the "Company", "we", "us" or "our"). The website is an Indian multi-vendor marketplace where independent sellers list, market and sell dry fruits, nuts, makhana, spices and related products. By using the Site or placing an order you agree to these Terms.

Note: Please read these Terms carefully before using our platform. They contain important information about your rights and obligations.

1. Definitions

  • Platform / Site / Website: The online services and interfaces provided by SEEMANCHAL KOSI MAKHANA.
  • Seller: Any individual or business that registers on the Platform to list and sell products.
  • Buyer / User / Customer: Any person who accesses the Site, registers an account, or places an order.
  • Order: A purchase instruction submitted by a Buyer through the Site checkout process.
  • COD: Cash on Delivery payment method.
  • Secret Code: A unique code generated and issued to the Buyer upon order confirmation; required to verify receipt of goods at delivery.

2. Governing law and jurisdiction

These Terms are governed by and will be interpreted in accordance with the laws of the Republic of India. Any dispute, claim or controversy arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of courts in India.

3. Account registration and security

  • By creating an account and using this Platform, you confirm that you are at least 18 years of age and legally capable of entering into a binding contract under applicable law. Minors may use the Platform only under the supervision of a parent or legal guardian who agrees to these Terms.
  • To place an Order you must register for an account and remain logged in. Browsing and viewing product listings on the Site does not require login.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Keep your password safe.
  • If you forget your password use the official "Forgot Password" flow on the Site to receive a secure password reset link by email. This is the only legitimate method to reset your password.
  • You are responsible for any loss or damage resulting from someone else using your account with or without your permission, except where such loss results from our gross negligence.

4. Nature of the Platform; marketplace role and liability

  • The Platform is strictly a marketplace connecting Sellers and Buyers. Unless explicitly stated otherwise, we do not sell products directly and we do not perform physical delivery. Delivery of purchased goods is arranged and executed by the relevant Seller or the Seller's delivery partner.
  • We verify sellers' GST and PAN details as part of our onboarding but do not assume responsibility for the accuracy of seller-provided product descriptions, claims, pricing or tax rates. Sellers remain principally responsible for their listings, pricing, tax treatment and order fulfilment.
  • Subject to applicable law, our liability for any claim arising out of or in connection with the use of the Platform is limited to the extent permitted by law.

5. Product listings, pricing, GST and taxes

  • Each Seller sets its own product price, shipping rates and tax (GST) percentage at the time of listing.
  • The Site displays item-level GST percentage information and shows the tax amount breakdown per Seller in the Seller Summary on the checkout page. The final order summary shows total tax and total payable amount for the whole cart.
  • The Platform calculates item and order totals strictly on the basis of the figures submitted by the Seller. If a Seller enters an incorrect or fraudulent tax rate or price, the Seller will be responsible for any legal, financial or regulatory consequences.
  • The Platform reserves the right to correct technical errors, display issues or system calculation errors and to notify affected parties; however, the Seller remains responsible for deliberate or negligent incorrect entries.

6. Shipping and delivery

  • Each Seller defines their own shipping charges and methods (flat, weight-based, zone-based or otherwise). The applicable shipping charge for each Seller will be displayed at checkout.
  • Sellers are expected to confirm or deny Orders within 24–48 hours of receipt. Bulk or specialty items may require additional lead time; relevant lead times will be disclosed on the product page or at confirmation.
  • Orders can be cancelled by the Buyer prior to shipment. Once the Seller ships an order, cancellation will generally be subject to the Seller's shipping and returns policy.

7. Secret code and delivery verification

  • When an Order is confirmed the Buyer will receive a unique Secret Code for that Order. The Secret Code is required to validate delivery and receipt.
  • The Buyer must provide the Secret Code to the delivery agent only when the physical goods are in Buyer's possession. The Buyer should not share the Secret Code publicly or with anyone other than the delivery agent at the time of handover.
  • If the Secret Code is lost, the Buyer may generate a new code via the authorized "Generate new code" or "Forgot code" workflow on the Order Details page after completing account verification. The location of this option may differ between mobile and desktop views.
  • Misuse of the Secret Code is the Buyer's responsibility; the Platform will assist reasonably when possible, but will not accept blanket liability for misuse except in cases of the Platform's proven negligence.

8. Coupons and discounts

  • Coupons and promotional codes are issued and managed by individual Sellers and apply only to the Seller's own products unless the promotion explicitly states otherwise.
  • Coupons are applied and evaluated based on the cart contents and the Seller's coupon rules at the moment of application. Sellers set eligibility criteria and valuation rules.
  • The Platform is entitled to refuse or disable coupons that are invalid, expired or inconsistent with the Seller's terms or our anti-fraud controls.

9. Payments and refunds (COD model)

  • The Platform currently offers only Cash on Delivery (COD) as a payment option unless we notify Buyers otherwise.
  • Because orders are placed on a COD basis, refunds are limited and handled according to the type of item and the Seller's return policy, subject to these Terms.
  • Retail items: If a Buyer receives retail items that are damaged, spoiled, materially different from the listing, or otherwise defective, the Buyer should contact our support team through the Site's Contact/Support page within 24 hours to initiate a claim. We will coordinate with the Seller to arrange either a replacement shipment or an appropriate refund.
  • Bulk items: Refunds, returns and replacements for bulk orders are governed by the Seller's stated terms. If Seller contact details are not available, Buyers may escalate the matter to Platform support.
  • Refunds, where approved, will be initiated promptly. Actual credit/settlement timing may depend on logistics and third-party processes.

10. Returns, replacements and claims involving mixed shipments

  • If a Buyer receives a shipment that contains both acceptable goods and goods that are damaged, spoiled or otherwise defective, the Seller must either: (a) collect the defective portion and promptly dispatch replacement goods of equivalent quality and quantity, or (b) provide an appropriate refund for the defective portion.
  • The Buyer must notify the Platform and the Seller promptly and provide reasonable evidence of the defective items. The Platform and Seller will investigate and determine the appropriate remedy.
  • If a Buyer is found to have submitted fraudulent claims, forged or AI-generated images, or otherwise acted in bad faith, the Platform may reject the claim, suspend or terminate the Buyer's account and pursue legal remedies.

11. Food and health disclaimer

The products sold on the Platform include food items such as makhana, dry fruits, nuts and spices. We do not provide medical, nutritional or dietary advice. Buyers are responsible for checking ingredient lists, allergies, dietary restrictions and suitability of products for their own use or consumption. Neither the Platform nor the Sellers shall be liable for any adverse reaction, allergy, misuse or overuse of products, except to the limited extent required by applicable law.

12. Seller obligations and conduct

  • Sellers must provide accurate, complete and lawful business information during registration and must maintain valid GST and PAN information when required by law.
  • Sellers must ensure product descriptions, images, prices, shipping details and return policies are accurate and not misleading.
  • Sellers are prohibited from impersonating other Sellers, using another Seller's brand name or copying another Seller's identity. Unauthorized use of a Seller's brand, trademark or listing content may result in immediate blocking and legal action.
  • If a Seller is found to have defrauded Buyers or engaged in unlawful activity, the Platform may suspend or terminate the Seller account, withhold payments and initiate legal proceedings.

13. Communication, conduct and prohibited behaviour

  • All direct messaging and communication channels provided via the Platform must be used respectfully and lawfully. Abusive language, threats, harassment, extortion or any illegal communications are strictly prohibited.
  • Violations of acceptable conduct may result in account suspension, blocking and/or legal action.

14. Fraud, manipulation and system abuse

  • Any attempt to manipulate prices, checkout flows, coupon mechanics, order status, or any other element of the Platform by technical means or by providing false information is strictly prohibited.
  • The Platform monitors for suspicious or abusive behaviour. If the system detects manipulation, fraudulent activity or abuse, we may suspend or block the account and refer the matter to law enforcement authorities.
  • The Platform maintains a zero-tolerance policy towards fraud, scams and abuse. Accounts that trigger high-risk or suspicious patterns may be temporarily frozen while we review the activity. Confirmed fraud cases may be reported to law-enforcement authorities as per applicable law.

  • Technical issues that arise from Platform errors will be investigated by us and remedial action will be taken where appropriate.

15. Intellectual property and brand protection

  • All content on the Site, including but not limited to text, graphics, logos, images and page designs, is owned by the Company or licensed to the Company or the relevant Seller.
  • Unauthorized copying, distribution or use of Site content, including use of company or Seller logos without written permission, is prohibited and may result in civil and/or criminal action.

16. Indemnity

You agree to indemnify, defend and hold harmless SEEMANCHAL KOSI MAKHANA, its affiliates, directors, employees and agents from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  1. your breach of these Terms or any other policy of the Platform;
  2. your violation of any applicable law or the rights of a third party; or
  3. any act, omission, misrepresentation, fraud or negligence by you in your use of the Platform, including as a Seller in relation to products, listings, taxes, quality, packaging or delivery.

Sellers further agree to indemnify the Platform against any claims brought by Buyers, regulators or other third parties arising from the Seller’s products, listings or conduct on or through the Platform, except to the extent such claims are directly caused by the Platform’s proven gross negligence or wilful misconduct.

17. Limitation of liability

  • The Platform acts as an intermediary marketplace. Subject to applicable law, the Company's liability for any claim arising from use of the Site is limited to the extent permitted by law.
  • The Company will not be liable for indirect, incidental, consequential, special or punitive damages arising from Seller conduct, Buyer decisions or third-party services.

18. Privacy and data usage

  • Our use of your personal data is governed by our Privacy Policy, which forms part of these Terms. We use Buyer information for order processing, account verification, Secret Code generation and to provide customer support.
  • By using the Site you consent to the collection and use of your data as described in our Privacy Policy.

19. Force majeure

Neither the Platform nor any Seller shall be liable for any delay or failure to perform any obligation under these Terms if such delay or failure is caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, floods, fires, epidemics or pandemics, war, terrorism, civil unrest, government actions, strikes, lockouts, transport disruptions, power failures or internet outages (“Force Majeure Events”). In such cases, the affected party shall use reasonable efforts to resume performance as soon as practicable.

21. Changes to these Terms

We may modify these Terms from time to time. Changes will be effective when posted on the Site with an updated effective date. Continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

22. Severability and entire agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and the Company with respect to the subject matter herein.
